Should I state 'sold as seen'?

Only if it reflects the actual agreement and local law allows it. A private sale usually carries fewer protections than a dealer sale.

Can I take a deposit and issue this later?

Use the deposit receipt first, then this receipt for the balance or the full payment.

Does the buyer need a VAT invoice?

Only if the seller is VAT registered and the sale is taxable. A private sale receipt is not a VAT invoice.
